Extraordinary General Meeting (EGM) approves transfer of Pearson PLC (Pearson)

Spanish TV assets to RTL Group

RTL Group announces that at its Extraordinary General Meeting (EGM) earlier
today shareholders passed all resolutions relating to the transfer of Spanish television assets from Pearson to RTL Group.

Pearson's 10 pct stake in Antena 3 de Television, S.A. (Antena 3) and 5 pct stake in DTS, Distribuidora de Television Digital, S.A. ("Via Digital") are accordingly contributed to RTL Group.
